Acceptance of Terms
By accessing or using the services of LaPrompt, you acknowledge that you have read, understood, and agreed to abide by these Terms. If you do not agree to these terms, you may not use our services.
Service Description
LaPrompt provides a variety of services (the "Services") that may include, but are not limited to, AI-powered services, text generation, and related services. These services are subject to modifications, additions, or deletions at any time, without prior notice.
Pricing
Prices for our Services are subject to change without notice. We reserve the right to modify or discontinue the Service (or any part or content thereof) without notice at any time.
Usage Requirements
Users must be of legal age to use our services. You may not use our services to engage in any illegal activities or to violate any local, state, national, or international laws or regulations. You are also prohibited from using our services to infringe upon the rights of others, distribute malicious software, or engage in any form of harassment.
Account Name and Image Reset
The platform reserves the right to reset the account name to a default one in cases where:
- The username/account name contains inappropriate language that may oppress others or become a target for harassment.
- The username/account name contains words or phrases that could potentially be used maliciously or mislead other platform users.
- The username/account name contains forbidden symbols introduced through system manipulation.
- The username/account name contains the name of a well-known brand or individual and could potentially be used maliciously or mislead other platform users.
- A complaint is received from a well-known brand or individual about the unlawful use of an officially registered name (only in cases where the username/account name does not fully match the name or brand owned by the account owner).
The platform reserves the right to reset the account avatar or banner to default images in cases where:
- The avatar or banner contains inappropriate images that may oppress others or become a target for harassment.
- The avatar or banner contains images that could potentially be used maliciously or mislead other platform users.
- The avatar or banner contains forbidden images format introduced through system manipulation.
- The avatar or banner contains images that may be considered obscene or unacceptable according to the platform's policy.
Account Suspension
The platform reserves the right to suspend a user's account for an indefinite period if:
- A moderator repeatedly resets the username/account name to a default one due to malicious/improper use.
- The system detects actions by the user that pose a potential threat to the platform or other platform users.
- Complaints and confirmations of unlawful actions by the user are received from other users or entities.
- The user persistently ignores rejected items by the moderator and continues to use the platform to sell items that are not text prompts.
- The user is found to have used methods to bypass/hack the system to gain unauthorized access to products or for improper enrichment.
- For any other reason of malicious behavior by the user, if the fact of such behavior is established and proven.
Appeal Procedure:
The user has the right to appeal the decision by contacting the platform's support if they believe the decision was erroneous and have evidence/arguments to the contrary. The complaint will be thoroughly reviewed by the platform administration. The final decision will be made by the platform administration.
Shop Name Reset
The platform reserves the right to reset the shop name to a default one in cases where:
- The shop name contains inappropriate language that may oppress others or become a target for harassment.
- The shop name contains words or phrases that could potentially be used maliciously or mislead other platform users.
- Complaints and confirmations of unlawful actions by the shop owner within the shop are received from other users or entities.
- The shop owner persistently ignores rejected items by the moderator and continues to use the platform to sell items within the shop that are not text prompts.
- The shop owner is found to have used methods to bypass/hack the system to gain unauthorized access to hidden functionality within the shop.
- For any other reason of malicious behavior by the shop owner within the shop, if the fact of such behavior is established and proven.
Appeal Procedure:
The shop owner has the right to appeal the decision by contacting the platform's support if they believe the decision was erroneous and have evidence/arguments to the contrary. The complaint will be thoroughly reviewed by the platform administration. The final decision will be made by the platform administration.
Prompt Owner Responsibilities
The prompt owner is responsible for:
- Ensuring the title/description/generation results/instructions correspond to the text of the prompt itself.
- Making sure that his/her prompt prices accurately reflect the complexity, uniqueness, and average market price of the prompt. We reserve the right to adjust the pricing if it does not meet these criteria.
- Providing quality instructions that help the moderator adequately assess the prompt without excessive effort.
- Periodically checking the published prompts for functionality with the specified model and prompt version.
Prompt Rejection
The platform reserves the right to reject a prompt if:
- The prompt title/description/text/instructions contain inappropriate language that may oppress others or become a target for harassment.
- The prompt title/description/text/instructions contain words or phrases that could potentially be used maliciously or mislead other platform users.
- The prompt title/description/text/instructions contain links to external resources.
- The attached media content (images, video, audio, 3D) does not match the generation results obtained by the prompt engineer during prompt verification.
- The attached media content (images, video, audio, 3D) contains scenes or materials that may oppress others or become a target for harassment.
- The attached media content (images, video, audio, 3D) has overly mixed styles, requiring excessive time for text prompt adjustments to confirm the prompt's compliance with the mixed styles of the content (images, video, audio, 3D).
- The prompt does not meet the platform requirements as specified on the Guide to Prompt Submission page.
Payments
Seller's Rights:
- The seller is entitled to receive the earned amount, minus the platform and payment system fees, if the amount meets the minimum payout threshold on the payment day.
- The seller can use the platform without linking a Stripe payment system, but additional fees may apply for storing funds on the platform's account.
- Once the payment system is linked, all previous transactions will be automatically synchronized with Stripe.
- The seller is responsible for using the platform properly to ensure smooth and accurate payouts.
- The seller is responsible for checking if their country is on the list of countries supported by Stripe for receiving payments.
Platform Rights:
- The platform reserves the right to withhold the seller's funds as compensation for any proven damages caused to the platform by the seller.
- The platform reserves the right to return funds to the buyer's account if requested by banking authorities due to payments made with stolen funds. The seller will be notified of such incidents.
- The platform reserves the right to freeze the seller's funds during an investigation if there is suspicion of fraudulent use of the platform. The seller will be notified and given the opportunity to participate in the investigation and provide evidence of legitimate use.
Intellectual Property
All content provided through our Services, including software, design, text, graphics, logos, and other material, is owned by LaPrompt or its licensors and is protected by international copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, or create derivative works from this content without our express permission.
Changes to Terms of Service
We reserve the right to update or change our Terms of Service at any time and you should check this Terms of Service periodically. Your continued use of the Service after we post any modifications to the Terms of Service on this page will constitute your acknowledgment of the modifications and your consent to abide and be bound by the modified Terms of Service. In case any significant changes are made to these Terms of Services, users will be notified via email.
Confidentiality, Security, and Data Protection
You may have access to confidential information of LaPrompt, its affiliates, and third parties. You may use such confidential information only as needed to use the Services as permitted under these Terms. You must implement reasonable and appropriate measures to secure your access to and use of the Services. You must comply with all applicable laws related to data privacy and personal data.
Termination
These Terms take effect when you first use the Services and remain in effect until terminated. You may terminate these Terms at any time for any reason by discontinuing the use of the Services. We may terminate these Terms for any reason by providing you with at least 30 days’ advance notice.
Dispute Resolution
You agree that any disputes will be resolved through final and binding arbitration, except as otherwise expressly provided in these terms.
General Terms
These Terms do not create a partnership, joint venture or agency relationship between you and LaPrompt. Neither party will have the power to bind the other or to incur obligations on the other’s behalf without the other party’s prior written consent.
